Now, therefore, CE Zoom and the Individual and Agency agree as follows:

1. “Confidential Information” means any information, know-how, data,

processes, and technology, in any format, whether it is labeled

“Confidential” or not, that is related to CE Zoom’s proprietary products

and services, that are disclosed or provided to the Individual and Agency through its

use of CE Zoom’s products and services.

2. The Individual and Company shall:

a. Hold any Confidential Information in strict confidence and shall

exercise a reasonable degree of care to prevent disclosure to

others;

b. Not disclose, directly or indirectly, the Confidential Information

to others unless first authorized by CE Zoom in writing;

c. Not reproduce, copy, use, or commercialize the Confidential

Information in any way;

3. CE Zoom retains ownership and all rights to the Confidential

Information. Notwithstanding the Individual and Agency's termination of services

with CE Zoom, the Individual and Agency shall maintain confidentiality of the

Confidential Information.

4. Should any court of competent jurisdiction later consider any

provisions of this Agreement to be invalid, illegal, or unenforceable,

such provisions will be deemed severed from this Agreement. All other

provisions, rights, and obligations will continue without regard to the

severed provision, provided that the remaining provisions of this

Agreements are in accordance with the intentions of the parties.

5. The Individual and Agency's violation of this Agreement may result in termination

of services, and any other legal or equitable remedy available to CE

Zoom.

6. This Agreement is in addition to and does not replace, CE Zoom’s

Privacy Policy and Terms of Service.

The foregoing has been agreed to and accepted by the parties who have clicked agreed.
